1. Acceptance of terms
These Terms of Service (the "Terms") are a binding agreement between Cardinal AI LLC ("Cardinal AI," "we," "us," or "our") and the dealership, company, or individual accessing our website or software platform ("you," "your," or "Customer"). By creating an account, signing an order form, requesting a demo, or using the Cardinal AI platform, you agree to these Terms. If you do not agree, do not use the service.
If you accept these Terms on behalf of a dealership or dealer group, you represent that you have authority to bind that entity.
2. Description of service
Cardinal AI provides a software-as-a-service platform that delivers AI-powered vehicle scoring and auction intelligence for automotive dealerships. The platform combines market data, vehicle history, valuation data, service records, and auction demand signals to produce vehicle scores, estimated retail values, gross potential estimates, reconditioning estimates, days-to-retail projections, and related reporting and analytics.
Scores, valuations, and projections are analytical estimates generated from third-party and historical data. They are decision-support outputs, not appraisals, guarantees, or offers.
3. Eligibility
The platform is offered solely to licensed automotive dealerships, licensed dealer groups, and their authorized personnel, operating in a jurisdiction where such licensing is valid. You represent that your dealership holds all licenses required to buy and sell motor vehicles in its jurisdiction and that you are at least 18 years old and authorized by your dealership to use the platform.
4. Account registration
You must provide accurate, current, and complete information when registering, and keep that information up to date. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account or the accounts of your authorized users.
- Promptly notifying us at [email protected] of any unauthorized access or suspected compromise.
Accounts and user seats may not be shared with, sold to, or transferred to any third party without our written consent.
5. Fees and subscriptions
Subscription fees, seat and rooftop limits, one-time onboarding fees, and billing terms are set out in the order form or written quote provided to you. Unless stated otherwise in your order form, fees are billed in advance, are non-refundable except as expressly provided, and exclude applicable taxes. We may change pricing for a renewal term with prior written notice.
6. Acceptable use
You agree not to, and not to permit any user to:
- Copy, resell, sublicense, rent, or redistribute the platform, its outputs, or its underlying data to any third party outside your dealership organization.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or scoring logic of the platform.
- Use automated means to extract or harvest data from the platform except through interfaces we expressly provide.
- Interfere with or disrupt the integrity, security, or performance of the platform, or attempt to gain unauthorized access to it or to other customers' data.
- Use the platform in violation of any applicable law, including motor vehicle, advertising, consumer protection, fair lending, or data protection laws.
- Upload malicious code or content that infringes the rights of others.
We may suspend access to investigate suspected violations of this section.
7. Intellectual property
Cardinal AI and its licensors own all right, title, and interest in and to the platform, including its software, models, scoring methodology, algorithms, user interfaces, documentation, trademarks, and all derivative works and improvements. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the platform for your dealership's internal business purposes during your subscription term. No other rights are granted, whether by implication or otherwise.
Third-party data included in the platform — including data supplied by providers such as Experian AutoCheck, J.D. Power, Black Book, and Carfax — remains the property of those providers and is subject to their terms.
8. Customer data
You retain ownership of the data your dealership submits to the platform. You grant Cardinal AI a license to host, process, and use that data to provide and support the service, and to create aggregated, de-identified data that does not identify you or your dealership for the purpose of improving our models and producing industry benchmarks. Our handling of personal information is described in our Privacy Policy, and our security practices are described on our Data Security page.
9. Disclaimers
Vehicle scores, valuations, gross potential figures, days-to-retail projections, and all other platform outputs are provided for informational and decision-support purposes only. They are estimates based on third-party and historical data and are not a guarantee of any vehicle's value, condition, salability, resale price, gross profit, or future performance. You are solely responsible for your own inspection, appraisal, bidding, pricing, and purchasing decisions.
Except as expressly stated in a signed agreement, the platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or error-free operation. We do not warrant the accuracy, completeness, or timeliness of third-party data.
10. Limitation of liability
To the maximum extent permitted by law, Cardinal AI and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost gross, lost data, business interruption, or the cost of substitute services, arising out of or related to your use of the platform, even if advised of the possibility of such damages.
Cardinal AI's total aggregate liability for all claims arising out of or related to these Terms or the platform will not exceed the total fees actually paid by you to Cardinal AI in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Cardinal AI from and against any third-party claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of your use of the platform in violation of these Terms, your violation of applicable law, or your dealership's vehicle purchase, sale, advertising, or pricing decisions.
12. Term and termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. We may suspend or terminate access immediately for non-payment, suspected unauthorized access, or use that threatens the security or integrity of the platform or other customers.
Upon termination, your right to access the platform ends. Customer data is handled in accordance with the retention periods described in our Privacy Policy. Sections covering intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
13. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, for any dispute arising out of or relating to these Terms.
14. Changes to these terms
We may modify these Terms from time to time. When we do, we will update the effective date at the top of this page and, for material changes, notify active customers by email or in-platform notice. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
