1. Acceptance of Terms

By accessing or using the Cardinal AI platform, including the web dashboard at cardinaltech.ai and the Cardinal AI iOS and Android mobile applications (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms") on behalf of yourself and the dealership or organization you represent ("Dealer").

By clicking "I Agree," creating an account, or using the Platform, you represent and warrant that (a) you are 18 years of age or older, (b) you have the authority to bind the Dealer to these Terms, and (c) your use of the Platform complies with all applicable laws.

2. Description of Service

Cardinal AI is a B2B SaaS platform that provides automotive dealerships with AI-powered vehicle acquisition analysis, scoring, and inventory recommendations. The Platform integrates with dealer DMS systems and third-party automotive data sources to generate vehicle-level scores and acquisition recommendations ("Cardinal Scores") to assist dealers in making vehicle purchasing decisions.

The Platform is intended exclusively for use by licensed automotive dealerships and their authorized employees. It is not available to individual consumers.

3. Account Registration and Security

3.1 Registration

To use the Platform, the Dealer must register for an account and designate at least one administrator. Account information must be accurate, current, and complete.

3.2 Authorized Users

Each user account is for a single individual and may not be shared. The Dealer is responsible for all activity that occurs under its accounts.

3.3 Credentials and Security

Cardinal AI uses Auth0 to manage authentication. Users must notify Cardinal AI immediately at mrodriguez@cardinaltech.ai upon becoming aware of any unauthorized access or security breach.

4. Acceptable Use

The Dealer and its users agree not to:

Use the Platform for any unlawful purpose or in violation of applicable laws
Access the Platform on behalf of any third party without Cardinal AI's prior written consent
Attempt to reverse engineer, decompile, or derive the source code, algorithms, or AI models underlying the Platform
Attempt to circumvent, disable, or interfere with any security feature or access control
Upload or transmit malicious code, viruses, or any content designed to interfere with the Platform
Resell, sublicense, or commercialize the Platform or its outputs without written authorization from Cardinal AI
Systematically extract data from the Platform for use outside the Platform

5. Intellectual Property

5.1 Cardinal AI's Proprietary Technology

The Platform, including the Cardinal Score algorithm, AI and machine learning models, vehicle scoring methodology, software, interfaces, and documentation, are the exclusive intellectual property of Cardinal Tech Group LLC protected by applicable copyright, trade secret, patent, and other intellectual property laws.

Cardinal AI's scoring methodology, AI models, and all platform technology are proprietary and confidential. Dealer has no right to: (a) reverse engineer or attempt to derive the methodology or algorithms underlying the Platform; (b) copy or create derivative works based on Cardinal AI's technology; (c) use output from the Platform to build a competing product; or (d) disclose Cardinal AI's proprietary methodology to any third party.

5.2 Dealer Data

Dealer retains full ownership of all DMS and inventory data it uploads to the Platform. Cardinal AI is granted a limited license to process that data solely to provide the services described herein.

6. Fees and Payment

Dealer agrees to pay all fees set forth in the applicable Order. Fees are non-refundable except as expressly stated in the Order. Cardinal AI reserves the right to suspend access for non-payment after written notice.

7. Data Privacy and Security

Cardinal AI's collection and use of personal information is governed by the Privacy Policy, incorporated herein by reference. Cardinal AI implements industry-standard security measures to protect Dealer data.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information and to use it only as permitted under these Terms. This obligation survives termination for three (3) years.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDINAL AI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY DEALER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

Dealer agrees to indemnify and hold harmless Cardinal AI and its officers, directors, employees, and agents from any claims, damages, or expenses arising from Dealer's use of the Platform in violation of these Terms or applicable law.

11. Warranties and Disclaimers

Cardinal AI will provide the Platform in a professional manner consistent with industry standards.

EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Term and Termination

12.1 Term

These Terms are effective upon account creation and continue for the subscription term stated in the Order, renewing automatically unless either party provides notice of non-renewal.

12.2 Termination for Cause

Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure within 30 days of written notice.

12.3 Effect of Termination

Upon termination, all licenses cease immediately. Cardinal AI will delete Dealer Data within 90 days of termination per our Privacy Policy. Sections 5.1, 8, 9, 10, and 13 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

14. Changes to These Terms

Cardinal AI may update these Terms with at least 30 days' notice via email or through the Platform. Continued use after the effective date constitutes acceptance.

15. General Provisions

Entire Agreement. These Terms, together with any Order and the Privacy Policy, constitute the entire agreement between the parties.
Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
Assignment. Dealer may not assign these Terms without Cardinal AI's prior written consent.
Notices. Legal notices to Cardinal AI must be sent to mrodriguez@cardinaltech.ai.
